1. Acceptance of Terms
By accessing or using the InvoiceRamp platform, web services, or public invoice views (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must immediately discontinue use of the Service.
2. Service Description & Non-Intermediary Role
InvoiceRamp provides digital document creation, estimate management, and settlement communication software for independent contractors, freelancers, and businesses.
Critical Disclosure: InvoiceRamp is not a bank, escrow agent, money services business, or payment processor. We do not hold, transmit, receive, or intermediate client funds. All financial settlements occur directly between you and your client via your own designated bank routing or third-party payment links (e.g., Stripe, PayPal). InvoiceRamp takes 0% commission on your settlements and bears no liability for commercial disputes, unpaid balances, or chargebacks between you and your clients.
3. Accounts & Acceptable Use
You agree to use the Service in compliance with all applicable local, provincial, state, and federal laws. You specifically agree not to:
- Generate fraudulent invoices, phishing links, or unauthorized requests for funds.
- Use the Service to transmit unsolicited commercial emails (spam) or harass recipients with automated reminder dispatches.
- Misrepresent tax identities (such as false GST/HST, EIN, or VAT registration numbers).
- Attempt to reverse-engineer, exploit, or bypass service rate limits or authentication controls.
4. Plans, Subscriptions & Billing
- Free Plan: Our Free tier provides monthly limits (up to 5 invoices per calendar month for a single client in a fixed base currency). Free plan allocations reset on the first day of each calendar month.
- Pro Plan ($14 USD/month): Pro subscriptions grant unlimited invoices, multi-currency support, custom branding, estimate workflows with 1-click conversion, and combined pipeline views.
- Cancellations: You may cancel your Pro subscription at any time through your dashboard settings. Upon cancellation, your Pro features will remain active until the end of your current prepaid billing cycle, after which your account will revert to the Free tier.
5. Intellectual Property & User Data
You retain 100% ownership of your business trademarks, logos, client lists, and line-item data uploaded to the Service. InvoiceRamp retains all rights, title, and interest in and to the platform codebase, user interface, brand assets, and documentation.
6. Limitation of Liability & Disclaimer
The Service is provided on an “as is” and “as available” basis without warranties of any kind. InvoiceRamp is not responsible for any client non-payment, incorrect tax calculations input by the user, banking transfer errors, or lost business revenue arising out of the use or inability to use the Service.
7. Changes to Terms
We may update these Terms from time to time. If a revision meaningfully alters your rights, we will provide notice by updating the “Last updated” date at the top of this page.
